BYLAWS OF THE
DESIGNING WOMEN FLORAL CLUB
June 2008
(revised September 2012, October 2019, and August 2024)
ARTICLE I. NAME
The name of the organization shall be: DESIGNING WOMEN FLORAL CLUB, with IRS, EIN # 90-0387469
ARTICLE II. OBJECTIVE
Designing Women Floral Club is a non-political organization that does not discriminate based on age, sex or religion. It is affiliated with and contributes to the goals of the Washington State Federation of Garden Clubs and National Garden Clubs, Inc.
The purpose of this organization is
* Planning, organization and execution of the annual Skagit Garden and Art Fair.
* The active participation in the education of its members and the community promoting the love of floral design, gardening, and civic and environmental responsibilities including conservation.
Monetary contributions may be made annually to National, State and local projects/events, and others as decided by the Board.
ARTICLE III. MEMBERS
Members shall participate in club meetings, activities and events. Dues will be paid to the Treasurer who will pass Member information to the Secretary for the Membership Roster.
ARTICLE IV. OFFICERS
Section 1. COMPOSITION: Officers shall consist of a President, Vice-President, Secretary,
and Treasurer, each elected on odd numbered years for a term of two (2) years.
The Board shall consist of the Officers plus three (3) Members-at-large. Members-at-large will nominated by the Board and on voted by the members.
Section 2. DUTIES:
A. President shall:
1. Preside at all meetings of the organization
2. Appoint Standing Committees and others as needed
3. In May appoint an Auditing Committee of two members plus themselves to audit the Treasurer’s books by the end of the fiscal year (June 30) and
create a written report presented at the September meeting.
4. Be a signer on the Club checking account limited to their term of office.
5. Set the meeting schedule.
B. Vice President shall:
1. Act as the President in the absence of the President.
2. Perform such duties as the President shall request.
3. Be a signer on the Club checking account limited to their term of office.
4. Chair the post event evaluation meeting.
C. Secretary shall:
1. Keep minutes of all membership meetings following the standard
parliamentary procedure format.
2. Complete any club correspondence, including distributing the minutes and meeting reminders
3. Send thank you notes to guest speakers within the week following the meeting.
D. Treasurer shall:
1. Make deposits within the week received.
2. Pay all bills approved by the Board.
3. Keep a journal, with all debits and credits
detailed with a running balance.
4. Pay the following by July 1 each year:
a. Dues to the Washington State Federation of
Garden Clubs.
b. Contributions as determined by the Board.
5. Be a signer on checking account limited to her term of office
6. Submit journal, receipts and bank statements for
audit by Audit Committee in July on the odd numbered year.
6. Distribute WSFGC membership cards to Members upon receipt.
7. Keep a list of members.
8. Shall file appropriate IRS documentation annually.
9. Shall ensure the Washington Secretary of State website information is kept current.
ARTICLE V. STANDING COMMITTEES
The following committees will be created as needed, to be headed by a chairperson elected by the Board:
A. Audit Committee
B. Nominating Committee
C. Awards/Grant Committee
The President will appoint any other committee as needed.
ARTICLE VI. ELECTIONS
A. Elections shall be held every odd numbered year at the May meeting.
B. New officers shall be installed at the June meeting.
C. The Nominating Committee formed in February shall consist of the current
President as chair, plus two additional members elected at the February meeting.
D. At the May meeting the Nominating Committee will present the names of the
candidates in writing to the Secretary who will read the names of nominees
aloud.
E. If there are any further nominations from the floor, the election will be by
written ballot or unanimous acclaim.
F. Election shall be by a majority vote of those present.
ARTICLE VII. MEETINGS
A. Meetings shall be conducted following parliamentary procedure and Roberts

B. Meetings shall be held as needed, and scheduled by the President.
C. The June meeting will be for Officer Installation (odd # years.
ARTICLE VIII. DUES
A. The club fiscal year shall be July 1 to June 30th of each year.
B. Club membership dues shall be determined by the Board at each May meeting and
shall be payable at the June meeting for the following fiscal year.
C. Membership to WSFGC as a “Club at Large” for the fiscal year shall be determined by the members at the May meeting.
ARTICLE IX. BYLAWS AMENDMENTS
Proposed Bylaw changes will be given to each member in both electronic or printed form at least one month in advance of a scheduled meeting where the Bylaws may be amended by a majority vote of the members present.
ARTICLE X. DISSOLUTION
Upon the dissolution of the Club, the Officers shall, after paying or making provisions for payment of all liabilities of the Club, dispose of all the remaining assets to Tulip Valley Gardeners club.
